Mark E. Rosenstein focuses his practice in the areas of securities, general corporate, mergers and acquisitions and corporate financing. He assists clients in structuring and preparing documentation for public and private securities offerings, exchange act reporting compliance, commercial loans and mergers and acquisitions.
Mark has a niche familiarity in public offerings of special purpose acquisition companies (SPACs) on behalf of issuers. He guides SPACs through the initial public offering (IPO) process and can assist with business combination plans. Mark formulates structural changes of the new generation of SPACs and handles mergers with other corporations. He has assisted clients with general IPO representation, including: SEC reporting, special meetings, proxy statements, structuring of boards, committees and other public governance issues per NASDAQ and NYSE requirements.
Mark provides his clients with sophisticated legal work in a cost-efficient manner. He prides himself on becoming a valued member of the client team, cooperatively working towards the same goal. Mark has acted as corporate counsel to publicly and privately-traded finance companies, natural resources companies, real estate investment trusts and multi-state banking organizations.
