Scott A. Ritch practices in the areas of banking and commercial law, real estate law (both commercial and residential) and business and contract law.

 

Scott represents numerous financial institutions and other lenders, including national, regional and local banks, as well as developers, business owners and other borrowers in all types of commercial transactions.

 

Scott has over 30 years’ experience documenting and negotiating commercial transactions, ranging from complex, multi-million dollar transactions to smaller deals. For example, Scott recently represented the lead bank in a $47 million loan participation, secured by precious metals and recently represented a bank in an SBA 504 loan transaction with a SWAP, secured by a fishing vessel. He is known for his detailed and accurate documentation and his ability to bring complex loans to fruition in an efficient manner. He handles virtually all types of financing transactions, including real estate and construction financing, asset-based lending, SBA and other government-backed lending and lease financing. He has also handled creditors’ rights actions, foreclosures and collections.

 

Scott represents other clients in various commercial and residential real estate matters. He has represented investors and developers of all sizes in the acquisition, development and sale of real estate, with a particular emphasis on commercial purchase and sale transactions and leases, including ground leases, industrial leases and leasehold mortgages.

 

Scott also handles a wide array of other business transactions for start-up companies, small businesses and real estate clients. He has successfully handled asset and stock acquisitions and sales, all types of entity formations, buy-sell and cross-purchase agreements, non-disclosure and confidentiality agreements and non-competition agreements. He frequently works with clients on employment, corporate and other business law related matters.

 

Over the years, Scott has represented numerous towns and other municipalities in Rhode Island as assistant solicitor and/or labor counsel; currently, he assists his firm by drafting and negotiating various contracts for the many Rhode Island towns that the firm currently represents.
